Oct 15,2026

Gujarat Energy has set a new financial benchmark by making payment of Rs. 324 crore in dividend payout to the Government of Gujarat for Financial Year 2025-26. This is the Highest Ever Dividend paid by any single State PSU to Government of Gujarat in a single Financial Year.

A Scheme of Amalgamation & Arrangement involving GSPC Group of Companies was approved by the Government of Gujarat, the Board of Directors, Shareholders and final regulatory approval by the Ministry of Corporate Affairs. The Scheme of Arrangement came into effect from 1st May 2026.

Under the Scheme of Arrangement, Gujarat Gas has been rechristened as Gujarat Energy upon amalgamation of GSPC into GGL. Further, pursuant to demerger under the Scheme, the Gas Transmission Business that was being carried on by GSPL earlier is now being carried out by GSPL Transmission.

The Scheme of Arrangement has resulted into holding of Government of Gujarat in Gujarat Energy increase from about 6% prior to Scheme to about 38% Post-Scheme. Similarly, the Government of Gujarat came to hold about 38% in GSPL Transmission while it did not hold any shares directly in GSPL earlier.

Prior to Scheme becoming effective, during FY 22-23 to FY 24-25, total dividend pay-out for three financial years by Gujarat Gas to Government of Gujarat aggregated to approx. Rs. 81.55 crore. Post the Scheme becoming effective, Gujarat Energy has paid a whooping Rs. 324 crore in Dividend to Government for the single financial year of 2025-26.

GSPL Transmission has also paid an amount of Rs. 60.67 crore to the Government of Gujarat as dividend for FY 25-26. GEL and GTL put together have paid Rs. 384.67 crore in dividend to Government of Gujarat for FY 25-26.
